As you are probably aware by now the State of Missouri Community Development Block Grant agency has approved our $450,000.00 1% interest 2 year loan. In the words of CDBG management Back 40's application was the most thorough and best prepared that they had ever received.

In spite of that fact, due to the current economic conditions of our country, the terms on the letter of credit we must obtain prior to the release of funds have been changed. Banks are operating under much tighter regulation than ever before. As a result, even though our collateral and credit history support the issuance of the letter of credit no bank can issue one at this time. I should mention that the State’s offer still stands approved.

After careful consideration we have decided it would be best to pursue an alternate source of funds to ensure our continued growth. For investors in a Development Stage company such as Back 40 Group this a golden opportunity . We have spent 3 years developing our concepts, our intellectual property, our equipment and our methods of operation. We have now laid a solid foundation and are rolling out and scaling up our products and services. Here are just a few of the developments that have occurred over the past few months:

  1. Our Back40Books website has moved from a ranking of 4,000,000th most popular out of 20,000,000 million worldwide web sites to a ranking of 216,000. That means we have surpassed 3.7 million other web sites in popularity. This is a fantastic upward climb. We have developed the capability of showing product videos on our web site; click here for a sample. We are getting ready to announce our services other web operators. Our Holiday sales are at least triple those of last year.
  2. In May of 2008 we launched a forums site at www.Back40Forums.com. The forum is performing extremely well. As of August 15, 2009 we have over 1870 posts in 0ver 1062 topics by over 500 members; an Alexa Rank of 178,229 out of 20,000,000 world-wide web sites, more than 60,000 page views per month and are generating a high volume of referrals to the KWBC and the Back 40 Books site. Additionally we are now receiving income from Google AdSense on the site.
  3. We have completed our new site for video and sound production services at www.PleasantValleyProductions.com, signed agreements to be the sole U.S. wholesale distributor for three different production companies and are receiving orders from major national accounts. We have eighteen projects in various stages of completion.
  4. We have a highly qualified Chief Technical Officer to lead our new division www.Back40InternetInnovators.com, and purchased expensive new software to help us serve up-scale e-commerce clients as they adapt to the changes in web.2.0.   5. Since internet radio station KWBC.FM was launched October of 2008 we have had over 40,000 listeners from 158 countries. and is ranked in the top 20 Country stations worldwide (occasionally in the top 10) (out of over 140 stations) in the world playing our genres of music (Traditional Country, Western, Western Swing, Bluegrass, Folk and Americana) . Our Saturday morning bluegrass show consistently ranks #2. Our listeners are now starting to patronize Back 40 Books and Music using our links.

So, here is our plan to fund our further growth: Back 40 Group will issue stock warrants in the amount of 20,000 shares per $10,000.00 on each investment. These warrants will allow the holder to purchase shares at our current offering price of 12¢ per share until August 31, 2011. No payment for the options is made until the warrants are exercised. In practical terms, taken from our projected Capitalization Table this is what this can mean to you:
